Terms & Conditions
These terms govern your access to and use of the DataLotse software and services.

This is a summary of the standard terms for the DataLotse service. Where you have signed a separate written agreement or order form with us, that agreement takes precedence over these terms to the extent of any conflict.
1. Definitions
"DataLotse", "we", "us" means the provider of the DataLotse service. "Service" means the DataLotse software, portal, agent and related services. "You" or "Customer" means the organisation that registers for or uses the Service. "Your Data" means the SAP and business data you process using the Service.
2. The Service
DataLotse provides selective SAP data carve-out and copy capabilities — copying selected documents, their dependencies and master data from a source SAP system into target test, QA or development systems, with PII scrambling and same-release safety checks. The Service is delivered as a hosted control plane with an outbound on-prem agent, or as an on-premise install under a separate licence.
3. Accounts & eligibility
You must register with accurate information and keep your credentials secure. You are responsible for all activity under your account and for ensuring that the people you authorise comply with these terms. You must have the authority to connect the SAP systems you use with the Service.
4. Acceptable use
You agree not to:
- use the Service unlawfully or in breach of any third-party rights;
- copy production data into systems or to recipients not authorised to hold it;
- reverse engineer, decompile or attempt to extract the underlying object profiles or other intellectual property of the Service, except as permitted by law;
- interfere with the integrity or performance of the Service or attempt to gain unauthorised access to it.
5. Your data & SAP environment
You retain all rights to Your Data. With the cloud model, copies run inside your network via the agent and your business data and SAP credentials are not designed to leave your landscape. You are responsible for the lawful basis for copying and processing Your Data, for configuring PII scrambling appropriately, and for number-range and post-copy steps in your SAP systems. You must hold a valid SAP licence and the SAP NetWeaver RFC SDK where required; DataLotse does not grant SAP licences.
6. Fees & billing
Paid plans are billed in advance for the subscription period stated at checkout. Unless stated otherwise, fees are non-refundable and exclusive of taxes. Plan entitlements (modules, landscapes, users and agents) are limited to those of your subscribed edition. We may change pricing for future terms on reasonable notice.
7. Trials
Where a free trial is offered, it is provided as-is for evaluation only and may be modified or withdrawn. Trial entitlements may be more limited than paid plans.
8. Intellectual property
The Service, including its software, object profiles, engine and documentation, is and remains our intellectual property. We grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes for the duration of your subscription or licence. No other rights are granted.
9. Warranties & disclaimers
The Service is provided on a commercially reasonable-efforts basis. To the maximum extent permitted by law, the Service is provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose. You are responsible for validating copied data before relying on it and for maintaining backups of your systems.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages, or for loss of data, profits or business. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid for the Service in the twelve months preceding the event giving rise to the claim.
11. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access for material breach of these terms, non-payment, or where required by law. On termination, your right to use the Service ends and we may delete your account data in accordance with our retention practices.
12. Changes to these terms
We may update these terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
13. Governing law
These terms are governed by the laws of the jurisdiction in which the DataLotse provider is established, and the courts of that jurisdiction have exclusive jurisdiction, except where mandatory local law requires otherwise.
